Standard Video Production Terms and Conditions

1. Application of These Terms

1.1 These terms and conditions govern:
a. the provision of video production and related services by IMPRESSIVE Film to the Client, and
b. any associated proposal, quotation, agreement or commercial relationship between IMPRESSIVE Film and the Client that references or incorporates these terms.

1.2 By signing a quotation, estimate, service agreement or any other document that refers to these terms, the Client confirms that they have read, understood and agreed to be bound by them.

1.3 These terms do not create an employment relationship, partnership, joint venture or agency between the parties. IMPRESSIVE Film acts as an independent contractor at all times.

1.4 If there is any inconsistency between these terms and any other document issued by the Client, these terms prevail unless IMPRESSIVE Film expressly agrees in writing to a different arrangement.

2. The Parties

2.1 Service Provider
For the purposes of this agreement, references to “IMPRESSIVE Film”, “we”, “us” or “our” mean:

2.2 Client
“Client” means any individual, company, trust, partnership, organisation or other entity that engages IMPRESSIVE Film to provide services, and includes anyone signing this agreement, any related purchase order, or approving a quotation on the Client’s behalf.

3. Definitions

For clarity throughout these terms, the following expressions have the meanings set out below, unless the context requires otherwise.

  • Additional Shooting
    Any extra filming requested by the Client that falls outside the scope of the agreed quotation or production plan.

  • Additional Post-Production
    Any post-production work (such as extra editing, re-edits, grading passes, sound work or visual effects) that is not included within the original agreed scope, estimate or allocated edit days.

  • Aspect Ratio
    The shape of the video frame. Common formats include 16:9 (landscape), 9:16 (vertical), and 1:1 (square), for example for social media delivery.

  • Budget
    The total estimated cost for the Project, which may cover items such as:

    • pre-production and planning time

    • number and type of filming days

    • crew size and roles

    • cameras, lenses and filming equipment

    • post-production hours or days

    • travel, locations, permits, talent, music, graphics and any other necessary expenses.

  • Bump In
    The setup period before filming begins on location, including unpacking, positioning and configuring equipment.

  • Call Time
    The scheduled time by which crew, cast and any on-screen participants must be present and ready to commence work on the filming day.

  • Casting
    The process of sourcing and selecting presenters, actors, extras or other performers, other than the Client’s own representatives, who will appear on screen.

  • Crew
    All production personnel engaged by IMPRESSIVE Film to carry out the Shoot or provide services for the Project, such as camera operators, producers, assistants, sound recordists, gaffers and other specialists.

  • Draft Product
    The initial edited version of the video supplied to the Client for review. This version may include watermarks, timecode or other markers and is not intended for public release.

  • CGI (Computer-Generated Imagery)
    Visual elements created or enhanced using computer software, including digital effects, compositing and animated graphics.

  • Cinematographer
    The camera operator or Director of Photography (DOP) responsible for the visual execution and camera work on the Shoot.

  • Colour Grading / Grading
    The post-production process of adjusting colour, contrast, exposure and other visual attributes to create the desired look and feel across the final video.

  • Deliverables
    The final video files, versions and formats that IMPRESSIVE Film agrees to supply to the Client as part of the Project.

  • DOP (Director of Photography)
    The lead camera and lighting professional responsible for the visual style and technical quality of the filmed material.

  • Embedded Subtitles
    Subtitles permanently “burned into” the picture so that they cannot be turned off when the video is played.

  • Fee / Fees
    All amounts payable by the Client to IMPRESSIVE Film for the Project, including any production charges, post-production charges, expenses and other agreed costs.

  • Filming Equipment
    Any cameras, lenses, lighting, grip, audio equipment, data storage and any other technical gear required for the Shoot.

  • Filming Day
    A working day of on-set production, usually up to eight hours in duration including meal breaks, unless otherwise agreed. Overtime may incur additional charges.

  • Filming Location
    Any site, venue, facility or property at which filming is conducted for the Project, whether sourced by the Client or IMPRESSIVE Film.

  • Finished Product
    The final approved version of the video or videos that make up the Project, exported in the agreed formats and ready for use by the Client.

  • Frame Rate
    The number of frames captured per second by the camera, for example 25 frames per second for standard motion or higher rates for slow-motion.

  • Gaffer
    The crew member responsible for lighting on set and implementation of the cinematographer’s lighting plan.

  • Green Screen
    A plain, typically green, background used to later replace the background digitally in post-production.

  • Interview Bed
    A structured sequence of selected interview clips, edited to time, which forms the narrative backbone for the video.

  • Lower Third
    On-screen text or graphics that typically appear near the bottom of the frame to display names, titles or other information.

  • Overlay / B-roll Footage
    Additional, illustrative footage intercut with main interview or presentation shots to visually support the story.

  • Piece to Camera / Talking Head
    Footage of a person speaking directly to camera, such as an interview, message or presentation.

  • Post-Production
    All work undertaken after filming is complete, which may include ingest, logging, editing, sound design, grading, graphics, captions and preparation of the Finished Product.

  • Pre-Production
    All planning and preparation activities carried out before filming, such as meetings, scripting, shot listing, scheduling, casting, location sourcing, risk assessment and production design.

  • Production Design
    The visual concept of the production, including locations, props, set styling, wardrobe, hair and makeup, and the visual environment in which the video takes place.

  • Production / Works
    All stages of the media production process, including pre-production, the Shoot, Additional Shooting and Post-Production, as well as the handling, storage and delivery of all related materials.

  • Project
    The overall engagement between the Client and IMPRESSIVE Film as described in the quotation, including all related services, works and Deliverables.

  • Resolution
    The pixel dimensions and quality of the video image, for example Full HD (1920 x 1080) or 4K.

  • Rushes
    The raw, unedited footage captured during the Shoot.

  • Shoot
    The period or periods during which IMPRESSIVE Film carries out filming for the Project, including any Additional Shooting.

  • SRT File
    A separate subtitle file that can be uploaded to platforms such as YouTube or Facebook, allowing viewers to turn captions on or off.

  • Super
    On-screen text that usually identifies the name and role of a person speaking in the video.

  • Teleprompter / Autocue
    A screen or device that displays a script for on-camera talent to read while looking toward the lens.

  • Timecode
    A time reference recorded within the video file, expressed as hours, minutes, seconds and frames, used to locate specific moments in the footage.

  • Treatment
    A written or visual document describing the creative approach, style, structure and key elements of the proposed video or campaign.

  • Wrap Time
    The time at which filming finishes for the day and pack down of equipment is completed.

  • Materials
    All items, files and assets required to complete the Production, including visuals, audio, logos, brand elements and supplied content.

  • Parties
    Collectively, IMPRESSIVE Film and the Client. “Party” refers to either one of them individually.

  • Payment Claim
    Any invoice or request for payment issued by IMPRESSIVE Film to the Client under these terms.

  • Quotation
    The written estimate, proposal or budget prepared by IMPRESSIVE Film for a specific Project, outlining scope, deliverables, Fees and key assumptions.

  • GST Law
    Has the same meaning as in the A New Tax System (Goods and Services Tax) Act 1999 (Cth) and any regulations made under it.

4. Interpretation

4.1 Unless the context indicates otherwise:
a. Words in the singular include the plural and the plural includes the singular.
b. Words referring to one gender include all genders.
c. A reference to a “person” includes an individual, company, trust, partnership, association or other legal entity.
d. References to “including” or “includes” are not limiting and mean “including but not limited to”.

4.2 Headings are provided for convenience only and do not affect the interpretation of these terms.

4.3 A reference to a law, regulation or statute includes any modification, re-enactment or replacement of that law, and any subordinate legislation made under it.

4.4 If any schedule or attachment is referenced in this agreement, a reference to a numbered clause or item is a reference to the corresponding clause or item in that schedule or attachment.

5. Client Responsibilities

5.1 By proceeding with the Project, the Client acknowledges that IMPRESSIVE Film is engaged to deliver a creative service and that IMPRESSIVE Film retains full professional discretion over the execution of the filming and final creative outcome, unless the parties have explicitly agreed otherwise in writing before production begins.

5.2 The Client understands that they will have opportunities to contribute creative preferences during pre-production and throughout the Shoot; however, disagreement with stylistic or artistic decisions after these stages does not constitute a failure by IMPRESSIVE Film to meet its contractual commitments, nor does it provide grounds to withhold payment of any outstanding Fees.

5.3 The Client must ensure that timely approvals, requested materials, access, and communication are provided so that production and post-production timelines can proceed without interruption. Delays or failures to provide required input may impact schedules and may result in additional charges.

6. Project Commencement and Scope of Services

6.1 IMPRESSIVE Film will initiate work only after the Client has accepted the quotation and paid any required deposits or initial instalments, unless IMPRESSIVE Film confirms a different arrangement in writing.

6.2 If the Client submits a purchase order or internal document containing terms that differ from these Terms & Conditions, those additional terms have no effect unless IMPRESSIVE Film explicitly agrees to accept them in writing.

7. Script, Storyboard and Creative Inputs

7.1 Where scripting or storyboarding is included in the scope, IMPRESSIVE Film will draft these materials in collaboration with the Client. Final written approval from the Client is required before production continues.

7.2 The Client grants IMPRESSIVE Film an exclusive, royalty-free licence to use any scripts, written concepts, brand stories, messaging outlines or creative content supplied to IMPRESSIVE Film for the purposes of developing, modifying or executing the Project.

7.3 If the Client chooses not to participate in the script or storyboard development process, or fails to supply direction when given the opportunity, IMPRESSIVE Film may proceed based on its professional judgement. In such cases, later requests that conflict with earlier approvals or the original Treatment may not be accommodated.

8. Treatment & Production Design

8.1 Unless IMPRESSIVE Film is specifically contracted to develop the Treatment or Production Design, the Client is responsible for supplying any required creative guidelines and visual references before filming begins.

8.2 Once the Treatment or visual direction has been approved, any subsequent creative changes—including new references, different stylistic requests, or narrative alterations—may not be possible to incorporate. If changes are feasible, they may incur additional charges.

8.3 The Client must provide logos, imagery, brand assets, or other materials required for the final edit in a timely manner. IMPRESSIVE Film is not responsible for deficiencies in the Finished Product that arise from low-quality, outdated or incomplete assets supplied by the Client.

8.4 IMPRESSIVE Film reserves the right to decline the use of externally supplied video, photography, or third-party material in the Project if such material compromises technical, creative or quality standards.

9. Crew, Equipment and Filming Locations

9.1 The Client must give IMPRESSIVE Film adequate notice—generally a minimum of two weeks—before the Shoot begins so that the appropriate crew and resources can be secured. Shorter timeframes may be accommodated only at IMPRESSIVE Film’s discretion.

9.2 IMPRESSIVE Film will select qualified crew members suitable for the Project’s size and objectives. IMPRESSIVE Film may replace or adjust assigned personnel at any time for operational, creative or scheduling reasons. Such changes do not entitle the Client to compensation.

9.3 Unless otherwise agreed, IMPRESSIVE Film manages casting for presenters, actors or extras. If the Client opts not to be involved in casting decisions, IMPRESSIVE Film is not responsible for dissatisfaction with on-screen performance or appearance.

9.4 Once casting selections, filming locations and schedule details are finalised, the Client must confirm acceptance in writing before call sheets or production logistics are issued.

9.5 IMPRESSIVE Film is not liable for issues arising from the physical attributes, wardrobe, on-camera performance, availability or conduct of the Client’s personnel or the Client’s selected talent. Additional filming required due to such issues will be at the Client’s expense.

9.6 IMPRESSIVE Film ensures that equipment is functioning prior to the Shoot; however, unexpected technical malfunctions may occur. If such issues arise, IMPRESSIVE Film will make reasonable efforts to address them but cannot guarantee immediate resolution.

9.7 Filming may only occur in locations for which proper permission has been secured. The Client is responsible for any associated costs, permits or venue fees unless otherwise agreed. IMPRESSIVE Film may refuse to film in any location where access is restricted, unsafe or unapproved.

9.8 IMPRESSIVE Film is not responsible for limitations in the Finished Product that result from environmental restrictions, location constraints or external vendors chosen by the Client. If additional filming is required because of such limitations, the cost will be borne by the Client.

9.9 Only individuals directly involved in the Shoot may be present at the filming location. IMPRESSIVE Film may request that unauthorised individuals leave the set to maintain safety, confidentiality and production efficiency.

10. Travel and Accommodation

10.1 For Projects requiring travel, IMPRESSIVE Film will select transportation options that balance practicality, efficiency and the security of equipment and crew.

10.2 When accommodation is required, IMPRESSIVE Film may approve or reject proposed lodging options based on safety, logistics and operational suitability. Standard accommodation is one room per crew member unless the parties agree otherwise.

11. Client Attendance at Filming

11.1 The Client may attend the Shoot to observe key moments or provide input, but IMPRESSIVE Film is not responsible for missed opportunities or quality concerns if the Client chooses not to attend.

11.2 IMPRESSIVE Film is not obligated to extend Shoot time or alter the filming plan to compensate for the Client’s late arrival, early departure or absence.

11.3 If time is lost due to Client actions—including delays in approving wardrobe, locations, setups, performances or access—IMPRESSIVE Film may adjust the shooting plan accordingly. Such adjustments may reduce coverage or require Additional Shooting at the Client’s expense.

11.4 The Client indemnifies IMPRESSIVE Film for any costs incurred due to missed filming days caused by no-shows, cancellations or delays from the Client’s team, talent or decision-makers.

12. Post-Production Process

12.1 Post-Production begins once all scheduled filming is completed and IMPRESSIVE Film has received any required payments or instalments. The Client acknowledges that editing, sound processing, grading, graphics creation, or visual effects may only commence after the necessary pre-agreed Fees have been received.

12.2 IMPRESSIVE Film conducts editing independently and does not permit the Client or Client-appointed representatives to sit in on the editing process unless specifically approved in writing. Any such participation may extend the edit timeline and incur additional costs payable by the Client.

12.3 If the Client requests any portion of the Post-Production work—such as colour grading, CGI, animation, audio engineering, or specialised finishing—to be completed by external third parties, this can only occur after the draft edit has been approved and locked (“picture lock”). Any changes required after external work has been completed will be at the Client’s cost.

12.4 When post-production work is outsourced, the Client understands that third-party specialists act according to the direction and instructions supplied by IMPRESSIVE Film and the Client. If the Client later revises their desired stylistic or technical outcome, additional charges may apply.

12.5 The quotation supplied by IMPRESSIVE Film outlines the editing time included for the Project. This allocation covers the core edit and any grading or enhancement already discussed with the Client. Additional editing requests not included in the original scope—such as extensive changes, new music, major revisions, structural re-edits, beauty retouching, alternative versions, or new content—will require extra Fees.

12.6 Any Post-Production additions or modifications not approved before filming begins (e.g., new animations, retouching, audio reconstruction, complex re-edits) are not included within the standard Fees and will only be undertaken after advance payment from the Client.

13. Delivery of the Draft Product

13.1 IMPRESSIVE Film will provide the Client with a secure viewing link to a Draft Product once a preliminary edit that meets IMPRESSIVE Film’s internal quality standards has been completed. The Draft Product may include watermarks, timecode stamps, temporary audio or placeholders.

13.2 The Draft Product may not be downloaded, shared publicly, distributed, or used for any promotional or commercial purpose unless both parties agree in writing.

13.3 The Client may provide one consolidated list of requested changes per revision round, with a maximum of three revision rounds included in the Fees. Revision rounds must be submitted in writing and must clearly reference timecode locations or descriptions of requested adjustments.

13.4 Requests that contradict earlier approvals, introduce new concepts, or require re-filming, animation or editing beyond the quoted scope may be treated as Additional Post-Production and billed separately.

14. Revisions and Edit Changes

14.1 IMPRESSIVE Film will make reasonable efforts to accommodate the Client’s revision requests within the included revision rounds; however, not all suggestions may be possible due to technical, creative, legal or practical constraints.

14.2 Additional revisions beyond the three included rounds will incur extra charges at IMPRESSIVE Film’s standard editing rate unless a different arrangement is confirmed in writing.

14.3 Revision lists submitted by multiple Client stakeholders must be consolidated by the Client before sending to IMPRESSIVE Film. Separate or conflicting feedback from different Client representatives is not considered part of the included revision scope.

14.4 Any delay by the Client in providing revision notes may extend delivery timelines. IMPRESSIVE Film is not responsible for deadlines missed due to slow or incomplete Client feedback.

14.5 If the Client later reverses a decision previously approved—such as changing music after approval, restructuring the narrative, altering interview content, or replacing brand materials—the resulting work will be considered Additional Post-Production and billed accordingly.

15. Final Approval & Finished Product

15.1 Once the Client has completed their revision rounds and is satisfied with the edited content, they will approve the edit so the final version can be rendered and delivered.

15.2 If the Client deems the Finished Product unsatisfactory for reasons not related to technical faults or deviations from the approved Treatment, additional changes will be charged as new work. Creative preference alone does not constitute grounds for withholding payment or requesting unpaid re-editing.

15.3 The Client acknowledges and agrees that IMPRESSIVE Film cannot be held responsible for delays in delivery caused by:
a. unavailability of the Client to review drafts,
b. delayed approvals or revision lists, or
c. changes requested outside the agreed scope.

15.4 IMPRESSIVE Film may use completed material or extracts from the Project in its portfolio, website, showreels, marketing materials or presentations unless the Client has formally requested confidentiality in writing before production begins.

15.5 All underlying rights, including raw footage, rushes, project files, and edit timelines, remain the property of IMPRESSIVE Film unless a buy-out arrangement is negotiated and paid for in full.

15.6 IMPRESSIVE Film’s obligation to the Client concludes once the Finished Product is delivered in the agreed format(s) and the Client has paid all outstanding Fees.

16. Final Deliverables

16.1 IMPRESSIVE Film will complete the Project to a professional standard and deliver the Finished Product in the formats listed in the quotation or otherwise agreed in writing. Delivery will occur once the Client has approved the final edit and all outstanding Fees have been paid.

16.2 Unless additional versions were included in the Fees, IMPRESSIVE Film will provide one master file of the Finished Product exported according to the specifications outlined in the Project brief or Schedule. This file will be suitable for general use on common platforms unless otherwise specified.

16.3 The Client acknowledges that additional versions—such as alternate aspect ratios, cut-down versions, subtitled versions, re-voiced versions, vertical edits, or re-formatted deliverables—are considered separate outputs and may incur additional Fees.

16.4 If a technical issue is discovered in the Delivered File due to an error on IMPRESSIVE Film’s part (e.g., file corruption, sync problems, render failure), IMPRESSIVE Film will replace or correct the file at no cost to the Client.
Errors caused by the Client’s playback devices, media players, or incompatible systems are not considered the responsibility of IMPRESSIVE Film.

16.5 If the Client requires physical media, hard drives, or alternative delivery methods outside of standard digital delivery (e.g., USB, external drive, cloud infrastructure other than the standard system), additional charges may apply.

17. Replacement Copies and Additional File Requests

17.1 IMPRESSIVE Film will replace the Delivered File at no cost if the issue is verifiably due to IMPRESSIVE Film’s encoding or export process.
Where the file was correct upon delivery but later becomes corrupted, lost, or damaged by the Client, replacement may be offered for a fee.

17.2 Multiple copies, alternate resolutions, alternate codecs, or additional formats beyond the agreed master file(s) are available at the Client’s expense.

18. Provision of Raw Footage & Project Files

18.1 IMPRESSIVE Film retains full ownership of all raw footage ("Rushes"), audio recordings, graphics, project files, edit timelines, sound design files, working animations, and any other production assets used or created during the Project.

18.2 Raw footage is not included in the Fees unless a buy-out has been specifically negotiated and paid for.
Where a buy-out is requested, IMPRESSIVE Film may charge for:
a. transfer time and preparation of files,
b. storage retrieval,
c. hard drive or upload services, and
d. licensing or copyright release fees.

18.3 Delivery of raw footage does not include:

  • project files,

  • editing sequences,

  • sound design assets,

  • colour grading projects,

  • LUTs,

  • templates, plugins or proprietary workflows, or

  • unused creative material.

These remain strictly the property of IMPRESSIVE Film and are not transferred unless formally negotiated.

18.4 IMPRESSIVE Film may store raw footage for up to 12 months from the Shoot date. After this period, raw footage may be deleted or archived at IMPRESSIVE Film’s discretion unless the Client arranges paid long-term storage or purchases the footage outright.

18.5 If the Client requests raw footage or archived material after the 12-month period, IMPRESSIVE Film is not responsible for loss, deletion, or unavailability.

19. Copyright, Intellectual Property & Usage Rights

19.1 All intellectual property rights, creative concepts, footage, audio assets, graphics, and any other production elements created or captured by IMPRESSIVE Film remain the exclusive property of IMPRESSIVE Film unless a written copyright transfer agreement is executed and paid for in full.

19.2 Upon full payment of the Fees, IMPRESSIVE Film grants the Client a non-exclusive, perpetual licence to use the Finished Product for the agreed purposes outlined in the quotation or Project scope.

19.3 The Client’s licence applies only to the final exported video(s). It does not extend to:

  • raw footage,

  • working files,

  • templates,

  • graphic elements,

  • music licences beyond permitted usage,

  • unused takes,

  • scripts or treatments created by IMPRESSIVE Film, unless explicitly agreed.

19.4 Where music, stock footage, photography, voiceover, or other third-party materials are licensed for the Project, the Client acknowledges that usage rights may be governed by the terms of the external licence and may impose limitations on distribution, broadcast, advertising spend, geographic region, duration or platform usage.

19.5 The Client must not modify, re-edit, alter, or repurpose the Finished Product in a way that misrepresents IMPRESSIVE Film’s work or violates licensing rights, unless given written permission by IMPRESSIVE Film.

19.6 IMPRESSIVE Film may use excerpts, screenshots, behind-the-scenes footage, or the Finished Product itself for portfolio, marketing or promotional use unless the Client has formally requested confidentiality in writing before production begins.

19.7 If the Client engages additional editors, agencies, freelancers or third parties to alter the Finished Product, IMPRESSIVE Film bears no responsibility for the creative or technical integrity of those derivative works.

20. Long-Term Storage & Archival

20.1 IMPRESSIVE Film stores completed master files and essential project backups for a limited period to enable replacement delivery if required. Long-term archival is not guaranteed unless the Client purchases this as an additional service.

20.2 After a reasonable period determined by IMPRESSIVE Film, all project materials may be removed from storage unless extended archival services have been arranged and paid for.

20.3 IMPRESSIVE Film is not liable for loss of project data due to system failures, external breaches, drive failure, cloud storage errors or other events beyond IMPRESSIVE Film’s reasonable control.

21. Client Representative

21.1 The Client must nominate a single authorised representative (“Client Representative”) who will act as the primary point of contact throughout the Project. This individual is responsible for consolidating internal feedback, making decisions on behalf of the Client, and providing approvals required by IMPRESSIVE Film.

21.2 IMPRESSIVE Film will not follow direction from individuals who are not formally appointed as the Client Representative. Any conflicting or unauthorised instructions from other parties will not override approvals or commitments previously made.

21.3 If internal disagreements arise within the Client’s organisation regarding creative direction, approvals, or revisions, such disputes must be resolved internally by the Client. IMPRESSIVE Film is not responsible for delays or additional work caused by internal misalignment.

21.4 The Client Representative must be available during key phases—particularly during review stages—so production and post-production timelines can progress efficiently. If the Client becomes unresponsive, IMPRESSIVE Film may proceed using its professional judgement to maintain workflow continuity.

22. Project Timeline & Scheduling

22.1 Before production commences, IMPRESSIVE Film will provide an estimated timeline outlining the major stages required to complete the Project, including pre-production, filming, editing and delivery.

22.2 This timeline is an estimate only and may be adjusted depending on factors such as:
a. Client availability or decision-making delays,
b. late delivery of assets,
c. expanded scope or change requests,
d. technical complexities discovered after the Shoot,
e. third-party dependencies (music licensing, subtitles, approvals), or
f. unforeseen production constraints.

22.3 IMPRESSIVE Film reserves the right to revise the projected delivery schedule if the initial assumptions change or if the Project requires more work than originally anticipated due to Client direction or circumstances outside IMPRESSIVE Film’s control.

22.4 Any deadlines required by the Client must be communicated before the quotation is accepted. Deadlines introduced after filming or editing begins may not be feasible without additional Fees.

23. Deadlines Requested by the Client

23.1 If the Client has a fixed release date, event date, marketing deadline or internal milestone, this must be disclosed in advance so IMPRESSIVE Film can determine whether the requirement is achievable within the agreed scope and Fees.

23.2 IMPRESSIVE Film is not responsible for missed deadlines when:

  • the Client is late in providing input,

  • approvals or materials are delayed,

  • revisions exceed the included rounds,

  • new creative requirements are introduced, or

  • additional work is requested after timelines have been established.

23.3 If IMPRESSIVE Film reasonably determines that a requested deadline cannot be met due to Client delays, the Client acknowledges that extending the timeline does not constitute a breach by IMPRESSIVE Film.

24. Fast-Track & Priority Editing Fees

24.1 When the Client requests an accelerated turnaround that requires IMPRESSIVE Film to prioritise the Project above existing commitments, work outside normal hours, or allocate additional personnel, a fast-track surcharge will apply.

24.2 Fast-track Fees may be charged when:
a. the Client asks for a quicker delivery than initially estimated,
b. expedited revisions are required,
c. approvals occur later than planned but the deadline remains unchanged,
d. unexpected last-minute requests are added, or
e. the Project involves complex deliverables that must be completed within an uncommonly short timeframe.

24.3 The fast-track Fee will be disclosed to the Client before such work is undertaken and must be agreed to in writing.

25. Completion of the Project

25.1 IMPRESSIVE Film’s obligations are considered fulfilled once:
a. the Finished Product has been delivered in the agreed formats, and
b. all outstanding Fees and expenses have been paid in full.

25.2 Any additional deliverables requested after the Finished Product has been supplied—such as alternate languages, revised scenes, new edit versions, added graphics, or new social media formats—fall outside the original scope and will require a new quotation.

25.3 If the Client or any third party modifies, re-edits or alters the Finished Product after delivery, IMPRESSIVE Film is not responsible for the technical or creative outcome of those changes.

25.4 The Client may not use, publish or distribute the Finished Product until the full Fees have been paid unless IMPRESSIVE Film explicitly authorises otherwise in writing.

25.5 If the Client fails to meet its payment obligations or has unresolved disputes related to other Projects with IMPRESSIVE Film, IMPRESSIVE Film may pause all work—including delivering files or responding to revision requests—until all outstanding matters are resolved.

26. Project Closure

26.1 Once the Finished Product is delivered and the final invoice is settled, the Project is formally closed. Any future updates, new versions or additional deliverables will be handled as a separate engagement.

26.2 IMPRESSIVE Film is not required to retain unused project materials, notes, alternative versions, unused footage, or work-in-progress files after the Project is closed unless otherwise agreed and paid for under archival or storage arrangements.

27. General Fee Structure

27.1 All services provided by IMPRESSIVE Film are billed according to the quotation or proposal issued to the Client. Fees are expressed either as a fixed project amount, as day rates, or as a combination of service-based and time-based charges.

27.2 IMPRESSIVE Film will not commence filming, post-production or any stage of the Project unless the required initial payment (deposit or instalment) has been received in cleared funds.

27.3 The Client acknowledges that Fees may include additional costs for pre-production, crew, equipment, travel, studio hire, locations, casting, music licensing, voiceover, graphics, motion design, colour grading or other required components of the Project.

27.4 IMPRESSIVE Film is entitled to suspend work if any payment becomes overdue, and such suspension does not waive the Client’s obligation to pay the remaining Fees.

28. Invoicing & Payment Timelines

28.1 Invoices will specify the applicable payment schedule, amounts, due dates and any additional costs not included in the initial quotation.

28.2 Payment terms are strictly 14 days from the invoice date unless IMPRESSIVE Film agrees otherwise in writing.

28.3 All payments must be made in Australian Dollars (AUD) via bank transfer or another approved method. The Client is responsible for any bank fees, transfer fees or international processing charges.

28.4 IMPRESSIVE Film is not required to release the Finished Product, raw files, or any other deliverables until all Fees and charges have been paid in full.

29. Payment Instalment Options

Depending on the size and nature of the Project, IMPRESSIVE Film may offer instalment-based payment schedules. These arrangements will be outlined in the quotation. Typical structures include:

a. Single Instalment Model

  • Full payment is required before filming commences.

  • Post-Production and delivery begin only after full payment is received.

b. Two Instalment Model

  • 50% payable before filming begins.

  • 50% payable upon approval of the Finished Product, or

  • If editing extends beyond 30 days after filming due to Client-related delays, an additional portion may become due earlier (as specified in the quotation).

c. Three Instalment Model

  • First instalment due before the Shoot begins.

  • Second instalment due immediately after the Shoot and before editing begins.

  • Final instalment due upon approval of the Finished Product, or

  • If the Project extends beyond agreed timelines due to Client delays, interim payments may be accelerated.

d. Project Progress Payments

Some Projects may require scheduled milestone payments for stages such as scripting, production design, filming and editing. These will be defined in the quotation or contract.

29.1 IMPRESSIVE Film will not proceed to the next phase of production until the required payment under the agreed instalment structure has been received.

30. Expenses & Reimbursable Costs

30.1 Unless specifically included in the quotation, costs associated with travel, accommodation, special equipment, location fees, parking, meals for crew during extended shoots, or any other out-of-pocket expenses will be passed onto the Client.

30.2 IMPRESSIVE Film may request upfront reimbursement before incurring significant expenses related to the Project. Work requiring such expenditure will not proceed until the Client approves and pays those costs.

30.3 If the pre-agreed expense allocation is exceeded due to circumstances outside IMPRESSIVE Film’s control—including location price changes, extended shoot times or Client-requested adjustments—the Client must reimburse the additional amount before final delivery.

30.4 Where the Client fails to pay required expenses, IMPRESSIVE Film may withhold delivery of the Finished Product until all outstanding amounts are settled.

31. Change of Scope & Additional Charges

31.1 Any variation to the agreed scope—including additional filming days, added scenes, expanded editing work, major creative changes or new deliverables—will be treated as a new cost and invoiced accordingly.

31.2 IMPRESSIVE Film will provide the Client with written notice outlining any change in Fees arising from scope variations. Additional work will not commence until approved in writing by the Client.

31.3 The Client acknowledges that revisions, additional animation, extended colour grading, voiceover changes, or additional editing beyond the included revision rounds are chargeable as Additional Post-Production.

32. Non-Refundable Costs

32.1 All deposits, instalments and expense reimbursements are non-refundable once paid unless otherwise stated in writing.

32.2 If the Client terminates the Project, cancels filming, delays progress or prevents IMPRESSIVE Film from completing agreed work, the Client remains responsible for all costs incurred to date, including pre-production, crew scheduling, location booking, or any other committed resources.

33. Overdue Payments

33.1 Accounts not paid by the due date may accrue interest at IMPRESSIVE Film’s standard late payment rate (not exceeding the lawful maximum), calculated daily until payment is received.

33.2 Continued failure to pay outstanding invoices may result in:
a. suspension of all ongoing work,
b. withholding of deliverables,
c. refusal to schedule further projects, and/or
d. referral to external recovery agents or legal action.

33.3 The Client agrees to reimburse IMPRESSIVE Film for all costs incurred in recovering overdue amounts, including legal fees and debt collection charges.

34. Rights to Withhold Deliverables

34.1 If any invoice remains unpaid, IMPRESSIVE Film may lawfully withhold:

  • the Finished Product,

  • draft versions,

  • raw footage,

  • social media edits,

  • subtitled versions,

  • project files, or

  • any other agreed deliverables.

34.2 The Client is not permitted to publish, distribute or use any part of the Project—including drafts or screenshots—until full payment is made.

34.3 Partial payments do not constitute permission to release or use the work unless IMPRESSIVE Film explicitly confirms otherwise.

35. Final Payment & Project Completion

35.1 The Project is considered complete when the Finished Product is delivered and all Fees (including expenses, overages, and additional charges) have been paid in full.

35.2 Any further edits, updates, alternate versions or additional content required after Project completion will constitute a new engagement.

36. Delays Caused by the Client

36.1 If progress on the Project is delayed due to the Client—not limited to lack of communication, unavailable decision-makers, failure to supply required materials, or repeated postponements—IMPRESSIVE Film may adjust the production schedule without penalty.

36.2 Delays directly attributable to the Client may result in additional Fees for rescheduling, crew cancellation charges, location rescheduling fees, or extended administrative management.

36.3 If the Client delays the Project for more than 30 consecutive days, IMPRESSIVE Film may apply an administrative surcharge to cover the cost of maintaining the project file, retaining crew availability, or managing extended timelines.

36.4 IMPRESSIVE Film is not responsible for missed deadlines or missed opportunities when such delays are the result of Client inaction, slow revisions, or unexpected changes in direction.

36.5 Lost filming time caused by late arrival of Client personnel, talent, or stakeholders may reduce the planned output or require additional filming at the Client’s expense.

37. Post-Production Delays Caused by the Client

37.1 Where post-production stalls due to the Client not reviewing drafts, failing to provide feedback, or delaying approvals, IMPRESSIVE Film is not obligated to maintain priority scheduling.

37.2 If revision notes are not provided within a reasonable timeframe, IMPRESSIVE Film may pause work until the Client becomes responsive. Restarting paused work may require new scheduling and may incur additional fees.

37.3 If the Client’s delays impact IMPRESSIVE Film’s availability, the Project may be rescheduled according to IMPRESSIVE Film’s next available production window.

38. Postponements of the Shoot

38.1 If the Client postpones the Shoot after the contract is signed, IMPRESSIVE Film may charge additional fees to cover crew commitments, location bookings, equipment reservations, and any other locked-in expenses.

38.2 Postponements requested less than 72 hours before the Shoot may be treated similarly to cancellations if significant costs have already been incurred.

38.3 Weather-related postponements may be rescheduled; however, any location fees, crew fees, or other third-party charges resulting from the delay are the responsibility of the Client unless otherwise agreed in writing.

39. Project Cancellation by the Client

If the Client chooses to cancel the Project at any stage, the following applies:

39.1 Cancellation Before Filming Begins

If the Project is cancelled after signing but before filming, IMPRESSIVE Film may retain (or invoice for) up to 30%of the total agreed Fees to cover time spent on planning, meetings, administration, resource allocation, and lost business opportunities.

39.2 Cancellation After Filming Has Commenced but Before Post-Production

If the Client cancels after filming has begun, but before editing starts, IMPRESSIVE Film may retain (or invoice for) up to 60% of the total project Fees to cover filming costs, pre-production, scheduling, and resource commitments.

39.3 Cancellation During Post-Production

If the Client cancels during editing or any stage of Post-Production, IMPRESSIVE Film may retain (or invoice for) up to 80% of the total project Fees to cover work completed, booked resources, editing hours, and all related expenses.

39.4 The Client remains responsible for reimbursing all third-party costs already incurred, including but not limited to: location fees, crew bookings, travel, accommodation, casting, licensing, and equipment hire.

39.5 Cancellation must be submitted in writing, and IMPRESSIVE Film will confirm receipt before cancellation takes effect.

40. Termination by IMPRESSIVE Film

40.1 IMPRESSIVE Film may terminate the contract at any time before delivering the Works by giving written notice to the Client if:

a. the Client repeatedly fails to meet payment obligations,
b. the Client breaches essential terms of the agreement,
c. the Client exhibits abusive or unsafe behaviour toward IMPRESSIVE Film personnel, or
d. circumstances arise that make it impossible or unsafe to continue production.

40.2 In such cases, IMPRESSIVE Film will refund any portion of Fees relating to work not yet completed, minus expenses already incurred.

40.3 IMPRESSIVE Film is not liable for any loss suffered by the Client due to termination initiated under this clause.

41. Consequences of Client Default

41.1 If the Client fails to pay an invoice by the due date or defaults in any manner, IMPRESSIVE Film may:

  • suspend work on the Project,

  • withhold all deliverables,

  • remove any web-hosted materials,

  • deny access to project files, and/or

  • take legal action to recover outstanding amounts.

41.2 If IMPRESSIVE Film is required to engage solicitors, debt collectors or recovery agents, all associated costs will be passed onto the Client.

41.3 If the Client becomes insolvent, enters administration, or ceases to operate, all outstanding Fees become immediately payable.

42. Safety, Conduct & Shoot Protection

42.1 IMPRESSIVE Film may interrupt, suspend or cancel the Shoot if unsafe conditions arise or if crew or talent are placed at risk.

42.2 If IMPRESSIVE Film believes that Client personnel or associated individuals are intoxicated, behaving aggressively, or otherwise compromising the Shoot, IMPRESSIVE Film may halt production. Any resulting losses or additional costs will be charged to the Client.

42.3 The Client must ensure that filming locations meet reasonable safety and access standards.

43. Force Majeure (Events Outside the Parties’ Control)

43.1 IMPRESSIVE Film is not liable for delays, disruptions, or failure to complete the Project where caused by events beyond its reasonable control, including but not limited to:

  • severe weather,

  • natural disasters,

  • public health crises,

  • technical failures,

  • theft or damage to equipment,

  • strikes, lockouts or labour shortages,

  • transportation disruptions,

  • acts of violence or vandalism,

  • government restrictions or shutdowns.

43.2 When a Force Majeure event occurs, IMPRESSIVE Film will notify the Client as soon as practicable and will make reasonable efforts to reschedule or amend the Project timeline.

43.3 Force Majeure does not release the Client from paying for work already completed or expenses already incurred.

43.4 Rescheduled dates may require new logistical arrangements, and any additional costs will be borne by the Client.

44. Rescheduling Due to Anticipated Adverse Conditions

44.1 If IMPRESSIVE Film reasonably anticipates that weather, unsafe conditions, or other factors may affect the quality of the Shoot or jeopardise safety, IMPRESSIVE Film may reschedule the Shoot.

44.2 IMPRESSIVE Film is not liable for costs arising from such rescheduling; the Client is responsible for covering associated fees such as location charges, crew rescheduling, or travel adjustments.

45. Variations to the Project or Agreement

45.1 Any request by the Client to alter the agreed scope of work must be submitted in writing. Variations may include, but are not limited to, creative adjustments, scheduling changes, additional filming, expanded deliverables, or new post-production services.

45.2 IMPRESSIVE Film will assess the requested variation and provide the Client with a written breakdown outlining:
a. the reason additional work is required,
b. any changes to the Fee, and
c. any impact on delivery timelines.

45.3 IMPRESSIVE Film will not proceed with variation work until written acceptance is received from the Client.

45.4 If IMPRESSIVE Film initiates a variation due to unforeseen circumstances—such as technical requirements, location changes, or production needs—IMPRESSIVE Film will notify the Client in writing and will not proceed without written confirmation.

46. Notices & Communication Requirements

46.1 All formal notices, approvals, requests, or communications between IMPRESSIVE Film and the Client must be provided in written form. Valid methods include email, physical mail or hand delivery.

46.2 Notices sent to the contact details provided in the contract will be considered properly delivered unless the receiving party has formally updated their contact details in writing.

46.3 A notice delivered by email is deemed received:

  • immediately if sent during business hours,

  • or at the beginning of the next business day if sent outside business hours.

46.4 A notice delivered by post is deemed received within five business days of mailing.

47. Governing Law & Jurisdiction

47.1 These Terms & Conditions and any agreement between the parties will be governed by the laws of New South Wales, Australia.

47.2 Any disputes arising under this agreement shall be subject to the exclusive jurisdiction of the courts of New South Wales, unless both parties agree to an alternative dispute resolution method.

48. Liability & Limitations

48.1 IMPRESSIVE Film is not liable for:
a. indirect or consequential loss,
b. loss of revenue, reputation, opportunity, or anticipated profits,
c. delays caused by third parties, or
d. issues arising from equipment, software, platform, or distribution providers not controlled by IMPRESSIVE Film.

48.2 The Client acknowledges that creative work is inherently subjective. Dissatisfaction with creative choices—where work aligns with the approved Treatment, script, or brief—does not constitute a breach of agreement by IMPRESSIVE Film.

48.3 The Client is responsible for obtaining and maintaining all necessary permissions, releases, or consents related to:

  • individuals appearing in the video,

  • use of Client-owned premises,

  • copyrighted content provided by the Client,

  • any materials or intellectual property supplied by the Client.

48.4 IMPRESSIVE Film is not responsible for infringement issues arising from content provided or approved by the Client.

48.5 IMPRESSIVE Film’s total liability under this agreement, regardless of cause, is limited to the total Fees paid by the Client for the relevant Project.

49. Indemnity

49.1 The Client agrees to indemnify and hold harmless IMPRESSIVE Film, its employees, contractors and partners against any claims, damages, costs or demands arising from:
a. the Client’s misuse of the Finished Product,
b. injuries or incidents caused by unsafe locations or environments arranged by the Client,
c. third-party claims relating to content the Client supplied,
d. the Client’s breach of these Terms & Conditions, or
e. unauthorised changes made to the Finished Product after delivery.

50. Final Acceptance & Binding Nature of Agreement

50.1 By signing the quotation, proposal, contract, or any document referencing these Terms & Conditions, the Client agrees to be bound by all clauses contained herein.

50.2 Where the Client consists of more than one individual or entity, each is jointly and severally liable for all obligations, including financial obligations.

50.3 The person signing on behalf of the Client warrants that they are authorised to do so and personally guarantee the Client’s performance of its obligations, including payment of all Fees.

51. Entire Agreement

51.1 This agreement constitutes the full understanding between the parties and replaces all previous written or verbal discussions relating to the Project.

51.2 Any amendment or update to these Terms & Conditions must be in writing and signed by both IMPRESSIVE Film and the Client to be enforceable.

52. No Waiver

52.1 Failure by IMPRESSIVE Film to enforce any part of this agreement does not constitute a waiver of future enforcement of that clause or any other clause.

53. Assignment & Subcontractors

53.1 IMPRESSIVE Film may subcontract or license elements of the production process to qualified third parties without needing explicit Client approval. IMPRESSIVE Film remains responsible for managing subcontractors engaged for the Project.

53.2 The Client may not assign or transfer their rights under this agreement without written permission from IMPRESSIVE Film.

54. Severability

54.1 If any clause within this agreement is deemed invalid, unlawful or unenforceable, the remaining provisions will continue in full force and effect.

55. Survival of Obligations

55.1 Clauses relating to payment obligations, copyright ownership, limitations of liability, indemnity and confidentiality continue to operate after the Project has been completed or the agreement has ended.

56. Agreement Execution

56.1 These Terms & Conditions apply to all Projects undertaken by IMPRESSIVE Film and remain effective for all subsequent engagements unless replaced or updated in writing.

56.2 Digital signatures, electronic approvals, or written confirmation via email are considered legally binding acceptance of these Terms.
